Tickeron's Client Account Agreement

1. Nature of Services — No Advisory Relationship

Tickeron, Inc. (“Tickeron,” “we,” or “our”) operates an online software platform that publishes AI-generated analytical content, trade ideas, statistical models, research tools, and market-data insights. Tickeron does not provide investment advice, personalized recommendations, fiduciary guidance, portfolio management, or advisory services. Tickeron is not registered as an investment adviser and does not operate under the Investment Advisers Act of 1940.

Membership is sold on a subscription basis and grants access to automated analytical tools. A “Member” refers to any individual or entity accessing the platform under this agreement.

Tickeron does not provide advice tailored to any individual Member’s financial situation, goals, risk tolerance, time horizon, tax situation, identity, or investment profile. Nothing on the platform constitutes a recommendation to buy, sell, or hold any security.

2. Definition of AI-Generated Trade Ideas (Non-Advisory)

“AI Trade Ideas” are automatically generated outputs produced by algorithms using pattern recognition, probability analysis, technical indicators, and historical data. These trade ideas:

• are not advice or recommendations
• are not based on Member-specific suitability
• are not monitors of Member accounts
• should not be relied upon to make investment decisions

Members acknowledge that AI outputs are informational only, may include errors, and are not a substitute for professional financial advice.

3. Membership Categories (Non-Credential Based)

Membership types are provided for access-level classification only and do not reflect Member sophistication, suitability, or eligibility:

• Beginner Member
• Intermediate Member
• Expert Member

The level selected does not imply experience and is not evaluated or validated by Tickeron. Refunds are not issued due to misselection.

4. Platform Components

The platform includes (but is not limited to):

AI Analytical Engines

• Pattern Search Engine — Identifies technical price patterns and issues alerts.
• AI Robots – analytical trade idea notifications
• Trend Prediction Engine — Uses machine-learning statistical analysis to identify trend directions.
• AI Articles & Blogs — Generates general market commentary and educational content viewable by Members.

Community & Content Sharing Tools

• Academy — Educational content and discussion forums.
• Community Trend Predictions — Aggregated Member sentiment data.
• Searching & Sharing Tools — Tools for Members to share research with others.

Tickeron may host content created by Members, but such content is the responsibility of the publisher, not Tickeron.

5. Member Responsibilities & Representations

Members agree to:

• use the platform only for lawful purposes
• independently verify all information
• make their own investment decisions and consult licensed professionals
• not rely on Tickeron data as the basis for financial decisions

Tickeron may exchange Member information with third-party service providers as necessary to operate the platform.

Members may not post:

• insider information
• fraudulent statements
• personal financial advice to other Members

6. Disclaimers and Limitations of Liability

• Tickeron does not guarantee profits, accuracy, outcomes, performance, or market movements.
• All data, analytics, forecasts, and backtests are for research and educational purposes only.
• Past performance, including simulated backtests, does not guarantee future results.
• Services are provided “as-is,” without warranties, including merchantability or fitness for purpose.

Tickeron and its affiliates are not liable for:

• losses resulting from reliance on AI trade ideas
• errors, delays, omissions, or inaccurate data
• indirect, punitive, consequential, or special damages

Maximum liability to any Member will not exceed $200.

7. No Advisory Status

Tickeron is not registered with the SEC or any state as an investment adviser and does not act in a fiduciary capacity.

Nothing in this Agreement shall be interpreted as:

• investment advice
• discretionary trading authority
• portfolio management
• suitability assessment
• solicitation to buy or sell securities

Members agree that they are self-directed investors solely responsible for their own decisions.

8. Arbitration

Disputes unresolved informally shall proceed first to non-binding mediation, then binding arbitration under AAA or JAMS rules. By agreeing to arbitration, Members waive the right to trial by jury, except where prohibited by law.

9. Governing Law

This Agreement is governed by the laws of the State of Nevada, except where preempted by U.S. federal law.

If any provision is invalid, the remainder remains enforceable.
