The following terms apply to all users of the Tickeron platform, including Members, content creators, and purchasers of Marketplace products.
1. No Financial, Investment, Tax, Legal, or Fiduciary Advice
Tickeron provides software tools, analytics, AI-generated insights, educational content, and marketplace products for informational purposes only.
Nothing on the platform constitutes personalized financial advice, investment recommendations, fiduciary services, legal advice, accounting advice, or tax advice.
Members are solely responsible for evaluating their own decisions and should consult qualified professionals before acting.
2. No Guarantees of Accuracy, Profitability, or Outcomes
Tickeron tools, predictions, models, algorithmic insights, charts, backtests, or any analytical output:
- are not promises of future performance
- may be incomplete, inaccurate, delayed, or based on assumptions
- may change over time without notice
Financial markets involve risk, including possible loss of principal. Past performance, hypothetical simulations, and backtests do not guarantee future results.
Tickeron is not responsible for market outcomes or Member trading decisions.
3. Data & Third-Party Information Disclaimer
Tickeron sources data from third-party providers, APIs, AI models, and automated systems. We do not guarantee:
- accuracy, timeliness, completeness, sequencing, or integrity of data
- uninterrupted access to feeds, signals, or analytics
- that third-party sources are error-free or current
Members agree that Tickeron is not liable for actions taken based on third-party or external data.
External links and external content do not imply endorsement.
4. No Platform Liability for Member Actions
Tickeron is not responsible for:
- user strategies, trades, or execution within external brokerage accounts
- settings chosen by Members in bots, alerts, AI tools, or automation modules
- outcomes resulting from failure to monitor or modify portfolios or strategies
Each Member maintains full control and responsibility for their trading and financial decisions.
Tickeron does not place trades, custody assets, or act as a broker-dealer.
5. No Responsibility for Third-Party Platforms, Brokers, or Integrations
If a Member connects to automation tools or broker APIs, the Member acknowledges that:
- brokerage execution, routing, pricing, outages, margin use, and transaction outcomes are controlled by the brokerage firm, not Tickeron
- brokers may apply fees, slippage, taxes, spreads, or compliance rules independent of the platform
Tickeron does not endorse or guarantee any broker, exchange, liquidity provider, or payment system.
6. AI Output & Machine-Generated Content Disclosures
Tickeron products may use machine learning systems, predictive models, neural networks, and algorithmic tools. By using them, Members acknowledge:
AI results may be probabilistic, non-deterministic, incomplete, biased, or incorrect.
AI content must not be interpreted as:
- research reports
- investment guidance
- factual financial forecasts
User discretion is required.
7. Hypothetical & Backtested Performance Disclosure
Modern expanded version
Hypothetical and simulated results are generated using historical data and assumptions applied in hindsight. They do not represent actual trades, may reflect favorable conditions, and may differ materially from real-world performance due to execution costs, liquidity, fees, slippage, market conditions, and behavioral factors.
Backtested content is provided for educational and illustrative purposes only.
8. No Endorsement of Member-Generated Content
Members, influencers, publishers, or Marketplace vendors may create content independently.
Publications, signals, webcasts, or marketplace products do not represent Tickeron’s opinions and are not reviewed for financial correctness, suitability, or verified performance.
Paid content must include proper disclosure, but Tickeron does not guarantee that disclosures are complete or accurate.
9. Platform Availability & Technical Interruptions
Tickeron does not guarantee continuous uptime or availability of:
- AI bots
- pattern search engines
- web applications
- alerts and notifications
- data feeds or order-routing integrations
Service disruptions may occur due to maintenance, outages, third-party failures, internet issues, or system limits.
10. Limitation of Liability
To the fullest extent permitted by law:
Tickeron, its officers, employees, affiliates, licensors, contractors, or data providers are not liable for indirect, incidental, punitive, consequential, special, or exemplary damages, whether based in contract, negligence, or other doctrines.
This includes losses resulting from:
- market volatility
- execution errors
- reliance on user-generated sources
- failure to act on or interpret platform signals
- Member actions or omissions
- broker or exchange failures
Nothing here waives rights that cannot be legally disclaimed under federal or state law.
11. No Third-Party Beneficiaries
This policy does not create enforceable rights for any third party, vendor, or Member on behalf of another Member.
12. User Responsibility & Independent Judgment
Users must independently evaluate:
- risks associated with market participation
- suitability of strategies
- accuracy of information
- whether to act on any analysis
Tickeron does not monitor user portfolios, risk profiles, or account objectives.
NON-RELIANCE AND AI OUTPUT DISCLAIMER
All analytical outputs generated by Tickeron—including but not limited to AI-generated signals, trend predictions, pattern recognition, alerts, backtests, statistical reports, dashboards, or Marketplace content—are informational, educational, and algorithmically derived without human curation, suitability analysis, or personalized review.
By using the platform, Members acknowledge and agree:
- AI-generated outputs are speculative and probabilistic, not factual or predictive statements.
- Such outputs do not account for your financial objectives, risk tolerance, liquidity needs, taxation, age, income, or suitability factors.
- Members must not rely on Tickeron outputs when making financial decisions and should seek independent professional advice.
- Any use of algorithmic outputs for trade execution or investment strategies is solely at the discretion and risk of the Member.
- AI may hallucinate, misinterpret data, or generate results that conflict with reality.
- Tickeron does not monitor, validate, update, or verify AI outputs for accuracy, completeness, or alignment with current markets.
NO OUTPUT FROM TICKERON MAY BE INTERPRETED AS INVESTMENT ADVICE, A RESEARCH REPORT, SUITABILITY RECOMMENDATION, FIDUCIARY GUIDANCE, OR A CALL TO ACTION.
Members must independently verify all information before relying upon it.
TICKERON, INC. — STATEMENT OF CESSATION OF ADVISORY ACTIVITY ON NOVEMBER 24, 2025
(Historical Context & Regulatory Position Statement)
Update: November 24, 22025
Tickeron, Inc. historically maintained registration with the U.S. Securities and Exchange Commission (SEC) based on an abundance of caution, due to early interpretations that algorithmic portfolio-generation tools might be classified as advisory activity.
However:
● Tickeron has never held discretionary authority over user assets.
Tickeron did not execute transactions, take custody, rebalance accounts, or manage funds.
● Tickeron did not collect the individualized data required to generate personalized advice.
The platform operated using:
- user-entered watchlists,
- general-purpose algorithmic outputs,
- non-personalized signals,
- identical output workflows for all Members,
- no intake of detailed suitability profiles required for advice.
Because the platform lacked granular personal factors (income, goals, tax status, liquidity needs, retirement horizon, assets outside the platform, household data, or investment constraints), Tickeron could not and did not produce individualized advice as defined under the Advisers Act.
● All outputs were published uniformly and made available to broad user groups.
AI outputs were distributed identically across Members and classified as:
- General research-like informational data
- Publicly consumable algorithmic insights
- Educational analytics
None were developed or delivered as tailored recommendations to a particular individual.
Post-Registration Determination
Following regulatory review and internal compliance assessment:
Tickeron determined that its business model aligns with a software-as-a-service analytics provider, not an investment adviser.
Thus, the company ceased any registration previously maintained under the purview of the Investment Advisers Act and discontinued all branding, language, and product categories that could imply personalized advisory activity.
Tickeron today operates strictly as:
A provider of AI-driven analytics, screening tools, content-publishing infrastructure, and data services—without offering individualized financial guidance.
Legal Position Summary
Registration occurred out of caution—not because Tickeron met the statutory definition of providing individualized advice. Since the platform never solicited or processed sufficient personal financial data to tailor outputs to a specific person, advisory registration was not required, and operations have been formally corrected to reflect that status.
