Nicolet Bankshares third quarter 2026 report provides the clearest view so far of how the company is integrating MidWestOne Financial Group. The roughly $864 million all-stock deal closed in February 2026 and more than doubled the Wisconsin-based regional bank’s balance sheet. Merger-related costs can obscure underlying trends, so investors are focused on whether core profitability, loans, and deposits are moving in the right direction. The quarter also marked completion of the systems conversion and the sale of the acquired Denver branches, making these results an important checkpoint on whether the combined franchise is operating efficiently and whether the improved NIM can hold up.
Nicolet Bankshares posted third quarter 2026 revenue of $174.4 million, up 68.8% from a year earlier and right in line with analyst forecasts. Net interest income, the main driver of revenue, reached $142.2 million, slightly above the $141.3 million estimate and up about 1% from the previous quarter. The net interest margin expanded to 4.19% from 4.14% sequentially, supported by the larger, higher-yielding balance sheet from the MidWestOne acquisition.
Adjusted EPS came in at $3.15, roughly 3% above consensus and higher than the $2.66 reported a year ago. On a GAAP basis, net income was $64 million, or $2.96 per diluted share, compared with $42 million, or $2.73 per share, in the prior-year quarter. The difference between adjusted and GAAP figures reflected about $0.19 per share in non-core items, primarily merger expenses from the MidWestOne integration. I also checked this using Tickeron’s AI Screener to see how the stock compares to others in the industry.
Not all metrics cleared expectations. The efficiency ratio came in at 51.7%, above the 49.3% estimate, and tangible book value per share of $61.14 missed consensus near $64.10. Total assets ended at $15.1 billion, down $350 million from June 30 mainly due to the Denver branch sale. Total loans rose $34 million to $10.9 billion, deposits increased $73 million to $12.6 billion, and core deposits grew $223 million during the quarter.
Despite the earnings beat and further margin expansion, Nicolet Bankshares shares fell about 2.3% in after-hours trading. The reaction appeared tied to the shortfalls in efficiency ratio and tangible book value. The stock has still advanced roughly 34% year to date, outperforming the broader market and suggesting much of the MidWestOne growth story was already priced in. Analysts had maintained a generally constructive view heading into the report, yet the results highlighted that remaining integration costs continue to influence near-term sentiment.
Looking ahead, attention will center on how quickly merger-related charges drop out of results. With the systems conversion and Denver branch sale now complete, core performance should become more visible. Management highlighted a core return on average tangible common equity of 22%, indicating solid underlying profitability for the combined franchise.
Margin trends will stay important. The NIM rose again this quarter, but sustaining that level will depend on deposit costs and loan pricing in a changing rate environment. Deposit growth, especially in core deposits, and loan growth will be watched as signs of customer retention and acquisition after the merger.
Asset quality remains a focus. Nonperforming assets were 0.52% of total assets, up slightly from 0.49% last quarter, though management noted solid trends and negligible net charge-offs. Capital deployment will also be monitored after the company repurchased $40 million in common stock and held its $0.36 quarterly dividend.
