Rimini Street holds a clear position as the leading independent provider of third-party support and managed services for Oracle, SAP, and VMware enterprise software. Its core offering helps clients extend the life of existing systems and avoid expensive upgrades, delivering meaningful cost savings. This quarter's results matter even more because the company continues managing the multi-year wind-down of Oracle PeopleSoft support while building out its Agentic AI ERP offerings. After a challenging 2025 that included litigation resolution and reorganization, I am watching closely to see whether improving billings and recurring revenue can translate into sustained profitable growth. I also checked this using Tickeron's AI Screener to compare RMNI with peers in the sector.
For the fiscal third quarter ended September 30, 2026, Rimini Street posted revenue of $112.1 million, an 8.3% rise from $103.4 million in the same period last year and modestly ahead of the roughly $110 million consensus. Adjusted revenue, excluding the PeopleSoft wind-down, increased 10.7%.
International revenue grew 11.6% to $63.8 million, ahead of U.S. revenue growth of 4.3% to $48.3 million. Subscription revenue made up 93.9% of the total and reached $105.2 million. Annualized recurring revenue (ARR) rose 7.7% to $421.0 million, or 9.8% to $410.4 million on an adjusted basis.
Diluted EPS of $0.07 missed the roughly $0.09 consensus, yet net income more than doubled to $6.5 million from $2.8 million. Non-GAAP net income climbed to $11.3 million from $5.7 million. Gross margin expanded to 61.4% from 59.9%, and adjusted EBITDA reached $15.1 million, or 13.5% of revenue, compared with $9.9 million, or 9.6%, a year earlier.
Forward metrics stood out. Calculated billings increased 21% to $80.5 million, and RPO rose 6.8% to $652.9 million. Active clients grew 1.9% to 3,214, and revenue retention improved to 90%.
Shares of Rimini Street declined 0.87% in regular trading to $3.99 before rising about 8% in after-hours action to roughly $4.32. Investors appeared to focus more on the revenue beat, strong billings growth, and margin improvement than on the EPS shortfall. The response indicates the market is prioritizing top-line momentum and operating leverage. Sentiment has also benefited from the reduced litigation overhang after the 2025 Oracle settlement and progress in newer AI-related services.
Management guided fourth-quarter 2026 revenue to a range of $117 million to $119 million and reaffirmed its "Rule of 20" target, aiming for combined revenue growth and adjusted EBITDA margin near 20% for the full year. The quarter marked the fifth consecutive period of improving financial and growth results.
Several areas deserve attention in coming quarters. The PeopleSoft wind-down reduced revenue to $2.7 million from $4.7 million a year ago and will remain a modest headwind until completion in 2028, making adjusted figures the better gauge of underlying trends. Sales execution remains important, with roughly 80 quota-carrying sellers still ramping and a focus on productivity rather than headcount expansion. Progress toward an indirect channel that eventually supplies about 40% of pipeline will support more efficient scaling. The Agentic AI ERP suite, including Rimini Govern for AI, Rimini Agentic UX, and Rimini AgentWorks, forms the main long-term growth story, though monetization is still early. The next Investor Day is set for January 14, 2027, and should offer updated multi-year guidance.
