Cardinal Infrastructure Group, Inc. (CDNL), a Raleigh, North Carolina-based civil contracting company that provides site development and infrastructure services across the Southeastern United States, saw its stock fall sharply again on Wednesday. Shares were trading around $15.53, down about 16.6% from Tuesday's close of $18.62, marking one of the stock's largest single-session declines of the year and pushing it deeper toward multi-month lows.
The move extends a punishing stretch for the company, which went public in December 2025 and has spent much of 2026 under pressure. The immediate catalyst is investor digestion of the company's agreement to acquire Hughes Brothers Construction, a Central Florida heavy-civil contractor, in a transaction financed largely with newly issued stock and new debt.
The sharpest near-term catalyst is the $357.5 million acquisition of Hughes Brothers Construction, announced Tuesday. The deal — Cardinal's fourth acquisition of the year — establishes a scaled platform in Central Florida and brings with it more than 500 employees and roughly $350 million in backlog.
But the financing structure is drawing scrutiny. Management said the purchase will be funded through a combination of cash and Cardinal Class A common stock, with at least 40% of the closing consideration paid in equity, along with about $156 million of new debt. Sellers may also receive up to $97.5 million in additional earn-out consideration, bringing the total potential transaction value to roughly $455 million.
For a company whose share price has already fallen sharply this year, issuing stock at depressed levels and layering on new borrowings raises concerns about shareholder dilution and a heavier balance sheet — even as management projects pro forma net leverage of about 1.4x, below its stated 2.5x ceiling.
The acquisition reaction is layered on top of deeper, pre-existing concerns. In August, CDNL reported second-quarter results that badly missed profit expectations. Adjusted EBITDA margin compressed to 12.4% from 18.6% a year earlier, and the company cut its full-year adjusted EBITDA margin guidance to 16%–18%, down from more than 20%. The stock plunged roughly 36% in a single session following that report.
Those results also triggered investigations by multiple securities-law firms into the company's disclosures around its June secondary offering and its A.L. Grading Contractors acquisition, adding an overhang of uncertainty that has weighed on sentiment for months.
The decline has been accompanied by unusually heavy volume. Recent sessions have seen trading well above the stock's typical daily average, consistent with institutional repositioning and momentum-driven selling rather than a narrow, one-off order imbalance.
The move is not tracking the broader market or sector. Major U.S. indices have traded relatively flat to modestly in recent sessions, while peers in the engineering and construction space have not shown comparable weakness — underscoring that the selloff is company-specific rather than a broad rotation. Technically, the shares have sliced through prior support levels and are now trading near their lowest levels since the company's early listing period.
Investors will focus on the closing and financing of the Hughes Brothers transaction, expected in the fourth quarter, and on whether the company can deliver the margin accretion management has promised. Integration risk looms large: the company has completed several acquisitions in a short window, and execution across new markets will be critical to restoring confidence.
Attention will also turn to the company's next quarterly report, where the market will look for evidence that adjusted EBITDA margins are stabilizing and that acquisition-driven revenue growth is translating into profitability. Continued securities-law investigations and the potential for further dilution remain key uncertainties.
