Braskem S.A. (BAK), Latin America's largest petrochemical producer and the Americas' biggest maker of thermoplastic resins and polyolefins, suffered one of its sharpest one-day declines on record Monday. The American depositary receipts fell roughly 44.12%, or about $0.75, to near $0.95, after closing the prior session at $1.70. The selloff was triggered by the company's weekend disclosure of competing restructuring proposals for its approximately $11 billion debt load, terms that investors quickly recognized would leave existing shareholders with only a small fraction of the company.
The dominant catalyst behind the share plunge was the release of detailed restructuring documents. Under Braskem's own proposal, creditors would convert about $2.8 billion of debt into equity, while controlling shareholders and third parties would backstop part of a $2.25 billion follow-on share offering. The creditors' counterproposal was similar in shape, calling for roughly $1.85 billion in immediate debt-to-equity conversion alongside a $2.25 billion equity raise, with most of it guaranteed upfront.
Either way, the combined new equity and debt conversion totals roughly $4 billion to $5 billion — many times the company's recent market value of around $650 million. Because the shares being created dwarf the entire existing equity base, current holders of BAK would be diluted to a small minority stake. That arithmetic, not the petrochemical cycle, now drives the stock's valuation, and the market repriced the ADRs accordingly.
The dilution concern was compounded by a separate legal front. On October 21, three funds affiliated with hedge fund Bracebridge Capital filed an involuntary Chapter 11 petition against Braskem America Finance Company, a Delaware financing subsidiary that issued roughly $589 million of notes due in 2041. The funds, which say they hold about $272 million of that issue, argue the subsidiary has not been paying debts as they come due.
While the petition targets a financing vehicle rather than the operating company, it signals that not every creditor is willing to wait for a consensual, out-of-court deal. A court-supervised restructuring generally produces a harsher outcome for equity holders than a negotiated settlement, reinforcing the bearish tone in BAK shares.
The move also reflects a steady stream of negative analyst revisions in recent weeks. HSBC downgraded the stock to Hold, UBS cut it to Sell, Citi moved to Sell, and JPMorgan shifted to Neutral, with several firms citing deteriorating petrochemical spreads, leverage, and the risk that restructuring leaves little value for common shareholders. Monday's selling was further amplified by a generally defensive tone across Brazilian financial and energy names ahead of the Federal Reserve's policy decision, although BAK fell far more than the broader market.
Trading volume was elevated as investors reacted to the weekend disclosures, continuing a pattern of heavy turnover that has accompanied each restructuring headline. The decline pushed the stock decisively below its 50-day moving average and toward the lower end of its 52-week range, which spans roughly $1.40 to $5.40. The move diverged sharply from the broader indices, underscoring that this was a company-specific, balance-sheet-driven repricing rather than a broad market correction.
The near-term outlook for BAK hinges on the restructuring negotiations. The parties are working toward an agreement on key terms, with deadlines extending into late October and a final approval window around November 22. A deal that emerges sooner could stabilize sentiment, but only if its terms preserve meaningful value for current holders — a bar that the disclosed proposals, as structured, do not clearly clear.
Investors will also watch the company's next earnings release, expected November 12, for updates on petrochemical spreads, cash flow, and any progress toward finalizing a restructuring plan. Lingering environmental liabilities tied to the Maceió ground-subsidence case, estimated in the billions of dollars, remain a further overhang. Until the capital structure is repaired, volatility in the shares is likely to persist.
