Shares of Foghorn Therapeutics Inc. (FHTX), a clinical-stage biopharmaceutical company focused on the chromatin regulatory system, collapsed more than 47% on Thursday. The stock fell from a prior close of $3.57 to around $1.88, a decline of approximately 47.34%. The move came after the company disclosed that it and its partner Eli Lilly (LLY) had agreed to stop developing the experimental cancer drug FHD-909, with the two firms also ending a second joint program and confirming no further collaboration is planned. In response, Foghorn unveiled a restructuring that will eliminate roughly 40% of its workforce.
The primary catalyst was the collapse of Foghorn's flagship collaboration with Eli Lilly. The two companies determined that FHD-909, a first-in-class oral small molecule designed to selectively inhibit the SMARCA2 protein, would not advance beyond its Phase 1 dose-escalation study. While the drug demonstrated a favorable safety profile and achieved drug exposures that exceeded preclinical targets, management said the efficacy was not strong enough to support continued development.
Chief Executive Adrian Gottschalk explained that the synthetic-lethality biology underlying the SMARCA2/4 relationship did not translate into the level of clinical response required to advance the program. The companies also dropped a separate program targeting SMARCA2 degradation, and Foghorn said it does not expect any additional joint activities with Lilly going forward.
The partnership, established in December 2021, had been a cornerstone of investor sentiment. Under the original deal, Foghorn received $300 million upfront and was eligible for up to $1.3 billion in milestone payments, while Lilly made an $80 million equity investment priced at $20 per share — a level far above where shares trade today.
Beyond the pipeline setback, Foghorn announced a sweeping restructuring that compounds the negative market reaction. The company plans to cut approximately 40% of its headcount and redirect resources toward wholly owned programs, including its selective EP300 degrader, a selective CBP degrader, and an oral immunology and inflammation program.
Management framed the cost cuts as a cash-preservation measure, projecting that the restructuring will extend the company's cash runway into the second half of 2029. Foghorn ended June with $257.8 million in cash, cash equivalents, and marketable securities. While the extended runway reduces near-term financing risk, the loss of the Lilly collaboration removes a major source of validation and future milestone funding.
Trading in FHTX was temporarily halted ahead of the announcement. Once the halt was lifted, selling pressure intensified rapidly, with volume running well above the stock's typical daily average. The move sent shares toward all-time lows and put the stock on track for its largest single-day percentage loss in its history.
The decline was company-specific rather than a reflection of broader biotech weakness. For Eli Lilly, the market reaction was muted, with the pharma giant's shares moving only modestly lower — an insignificant move for a company of its scale. Foghorn's collapse underscores how concentrated the downside risk can be for small-cap biotechs whose valuation is tied to a single partnered program.
Foghorn now enters a period of transition. With the Lilly collaboration terminated, the company will rely on its internal pipeline and a leaner organization to generate value. Investors will be watching for clinical entries and data readouts from the EP300 degrader, CBP degrader, and immunology/inflammation programs, as management works to restore confidence in the platform.
The company's extended cash runway into late 2029 removes some near-term overhang, but the path forward carries meaningful risk. The newly prioritized programs are still early-stage, and the disappointing FHD-909 outcome raises questions about the translatability of the underlying biology. Upcoming earnings and corporate updates will be closely scrutinized for signs of pipeline progress and disciplined capital allocation.
