NOW — ServiceNow, Inc., the Santa Clara-based provider of cloud-based digital workflow and enterprise IT service management software — plunged more than 20% on Thursday after its third-quarter results revealed a profit shortfall and softer-than-expected forward contract growth. The stock was down about 20.72%, trading near $119.02 after closing the prior session at $150.13. The move marks one of the steepest single-day declines in the company's history, driven by an earnings miss and cautious guidance that overshadowed a revenue beat and an upward revision to the company's artificial-intelligence targets.
The selloff was triggered by ServiceNow's third-quarter report, released after Wednesday's close. Revenue rose 20.5% year-over-year to $4.106 billion, slightly ahead of the roughly $4.095 billion Wall Street expected, and subscription revenue climbed 21% to $3.988 billion. However, adjusted earnings per share came in at $1.00, missing the consensus estimate of about $1.02, partly reflecting costs tied to the company's recent acquisition of cybersecurity firm Armis.
What most unsettled investors was the outlook. Management guided fourth-quarter current remaining performance obligations (cRPO) — a closely watched gauge of near-term contracted revenue — to growth of approximately 18.5%, below analyst expectations near 19.8%. Fourth-quarter total revenue guidance of $4.25 billion to $4.26 billion also fell short of the roughly $4.36 billion consensus. CFO Gina Mastantuono attributed part of the expected slowdown to customer contract renewals that closed early in the third quarter and to temporary deployment support on certain large AI deals.
Despite the negative reaction, ServiceNow offered several positive data points on its artificial-intelligence strategy. The company raised its full-year 2026 AI product annual contract value (ACV) target to $1.7 billion, up from $1.0 billion at the start of the year, and said production consumption of agentic AI grew more than 13x year-over-year. It also lifted its full-year free-cash-flow margin outlook by 100 basis points to 36%.
Still, those bright spots were not enough to offset concern that top-line acceleration from AI products remains further out — management acknowledged meaningful revenue acceleration is expected only as deployments mature in 2027. Combined with the cRPO deceleration, the commentary rekindled worries that AI disruption could pressure traditional software growth.
The decline was amplified by a wave of analyst revisions. At least ten brokerages lowered their price targets on the stock, with Raymond James cutting its target to $130 from $135 while maintaining an outperform rating, citing lagging subscription revenue and backlog growth. The move also rippled across the sector: shares of Fortinet and Alphabet fell sharply in sympathy, deepening broader concerns about AI disruption, valuations, and the quality of cloud growth.
Trading activity was exceptionally heavy, with volume spiking as investors repositioned following the earnings release. The single-session move far exceeded the stock's recent daily swings, and the decline pushed ServiceNow well below its recent trading range after a multi-month rally had left expectations elevated. The broader software and cloud complex traded lower in tandem, suggesting the decline was as much about sector sentiment as company-specific fundamentals.
Looking ahead, the market's focus will turn to whether ServiceNow can sustain its AI ACV growth while stabilizing cRPO and subscription growth. Upcoming quarterly results, management's commentary on AI deal deployment timing, and any further analyst revisions will be closely scrutinized. Risks include persistent pressure on near-term contract growth, the timing of AI-related revenue acceleration, and elevated valuation multiples across the software sector.
