Andersen Group Inc. (ANDG), a San Francisco-based provider of independent tax, valuation, and financial advisory services to individuals, family offices, businesses, and funds, saw its stock fall sharply Thursday after its second-quarter report failed to impress a market that had already pushed shares to a record high.
In early trading, the stock changed hands at $46.29, down 7.42% from the prior close of $50.00. The decline reversed Wednesday's 3.16% advance and marked a classic sell-the-news reaction: investors locked in gains even as the company posted better-than-expected revenue and improved adjusted profitability.
Andersen reported second-quarter revenue of $217.7 million, up 23.7% year over year, beating consensus estimates of roughly $199 million. Organic growth came in at 20.6%. Adjusted EBITDA climbed 54% to $45.9 million, with the adjusted EBITDA margin expanding to 21.1% from about 16.9% a year earlier.
Management reaffirmed full-year revenue guidance of $980 million to $1 billion and adjusted EBITDA margin guidance of 22% to 23%. The company also disclosed a transaction pipeline representing more than $130 million in annualized revenue.
Still, the market fixated on two negatives. First, the company posted a GAAP net loss of $10.1 million, driven largely by $48.2 million in non-cash stock-based compensation. Second, management said inorganic revenue is now expected to land at $25–30 million for 2026, below the original $55 million target, as acquisition closings take longer than anticipated. Some deal-related revenue is now expected to slip into 2027.
The decline fit a textbook profit-taking pattern. Shares hit an intraday record of $50.76 on Wednesday and entered the report up roughly 19% over the prior month and about 41% over three months. With the stock priced for strong execution, even a solid quarter was not enough to prevent selling.
After-hours and pre-market trading had already pointed to a decline of roughly 8% to 10%. When the regular session opened Thursday, sellers remained in control, even as analysts including Baird and Truist Securities reiterated positive ratings and raised their price objectives following the results.
Volume was elevated relative to recent norms. Wednesday's session saw more than 400,000 shares change hands, above the 20-day average of roughly 360,000 shares, as investors positioned ahead of the report. Early Thursday trading showed wide intraday swings, with the stock opening near $45.96, briefly recovering toward $46.81, and then pulling back toward $45.56—indicating active two-way trading as investors reassessed valuation.
The move appeared primarily company-specific rather than driven by broad sector weakness. The earnings-driven sell-off overshadowed any broader index influence, with the professional-services name trading on its own catalysts and the market's re-rating of its acquisition-driven growth story.
Investors will be watching whether organic revenue momentum can offset slower acquisition contributions. Management said it expects to sign another 8–10 deals by year-end, but execution risk remains, particularly around deal closings, integration, and attrition. Valuation remains a key debate: even after Thursday's decline, the stock carries a premium multiple that leaves limited room for disappointment.
Analysts maintain a broadly constructive view following the report, but the near-term reaction shows the bar for positive surprises has risen. The stock's ability to hold above its 50-day moving average will be a closely followed technical test in the sessions ahead.
