Bending Spoons S.p.A. (BSP) is a Milan-based technology company that acquires and optimizes established digital businesses. Its portfolio includes brands such as AOL, Brightcove, Eventbrite, Evernote, Harvest, Remini, StreamYard, Vimeo, and WeTransfer. The company went public on the Nasdaq in early July 2026 at $29 per share.
On Thursday, BSP shares traded at $41.18, down 15.92% from the previous close of $48.98. The move extended a sharp post-earnings repricing after the company reported second-quarter results that beat expectations but issued full-year revenue guidance below consensus, reviving concerns about valuation and the financing of its acquisition-driven growth model.
The market reaction was driven primarily by Bending Spoons' second-quarter report and updated guidance. Revenue for the quarter was approximately $704 million, up 126% from the year-earlier period and above analyst forecasts of roughly $683 million. Adjusted earnings per share came in at $0.46, beating estimates by $0.19. Adjusted operating income rose 150% year over year to about $381 million.
Despite those headline beats, the company's full-year 2026 revenue guidance of $2.78 billion to $2.82 billion came in below the consensus estimate of about $2.90 billion. Third-quarter revenue guidance of $733 million to $745 million was roughly in line with expectations, but investors focused on the softer full-year view, particularly because the outlook is based only on the portfolio owned as of mid-August and excludes future acquisitions.
The selloff also follows an analyst downgrade a day earlier, when BofA Securities lowered its rating on BSP to Underperform from Neutral. The firm's core concern is that the stock's valuation implies roughly $18 billion of future mergers and acquisitions, while Bending Spoons may have only about $7 billion of additional debt capacity through the end of 2027. The company has indicated it targets roughly $4 billion to $5 billion in annual M&A activity.
Balance sheet scrutiny has added to the pressure. The company ended the second quarter with net debt of about $4.09 billion and a leverage ratio of 2.4x. While the IPO and additional credit facilities have strengthened liquidity, the stock's premium valuation leaves less room for execution missteps or a slowdown in deal activity.
The decline in BSP appeared company-specific rather than part of a broad technology selloff. Shares have been volatile since the IPO, with large daily swings in both directions during August. The latest drop took the stock below the lower end of its recent trading range near $42, a level that had provided support earlier in the month.
Investors repriced the stock aggressively following the premarket earnings release, and the shares remained under pressure into the morning session. The move reflects a market recalibrating growth expectations, debt capacity, and the sustainability of an acquisition-heavy strategy rather than a reaction to a single operational miss.
The focus now shifts to execution. Investors will watch whether the company can hit its third-quarter and full-year revenue targets, how organic growth trends evolve across its portfolio, and whether management can complete and integrate acquisitions without overextending the balance sheet.
Risks include integration complexity as the company pursues larger deals, higher financing costs, and the possibility that future acquisitions become harder to source at attractive valuations. Until investors gain more clarity on those fronts, volatility is likely to remain elevated.
