Driven Brands Holdings Inc. (DRVN), the Charlotte-based parent of automotive-service brands including Take 5 Oil Change, Meineke, Maaco, CARSTAR, and Auto Glass Now, saw its shares plunge about 12.5% on Tuesday, falling from a prior close of $12.72 to roughly $11.13. The decline came after the company disclosed that its Audit Committee had found material errors in previously issued financial statements, requiring a restatement and prompting the postponement of its quarterly results.
The sell-off was triggered by DRVN's disclosure that its previously reported consolidated financial statements for fiscal years 2023, 2024, and 2025 — along with quarterly periods through June 27, 2026 — contained material errors and should no longer be relied upon. Management identified the issues while preparing for audits of its Whole Business Securitization subsidiaries, with errors falling into three categories: a failure to timely write off fixed assets tied to sale-leaseback transactions, misclassification of fixed assets, and incorrect useful lives assigned to certain asset categories.
The company said the adjustments identified so far have a negligible impact on Adjusted EBITDA, but offered no firm timeline for completing the restatement. The lack of clarity weighed on investor sentiment, as restatements of this scope typically raise questions about internal controls over financial reporting and can invite regulatory scrutiny.
Compounding the uncertainty, DRVN said it is delaying its third-quarter earnings call and will not file its Form 10-Q by the required deadline. Until the restatement is complete, the company said it will limit communications to required public disclosures. It also must temporarily suspend its share-repurchase program until it becomes current with its reporting obligations, removing a source of support that had been active in recent quarters.
The market reaction also reflected a downward revision to guidance. Driven Brands now expects full-year 2026 Adjusted EBITDA of $410 million to $430 million, down from a prior range of $430 million to $460 million, and adjusted diluted EPS of $1.10 to $1.20, versus $1.15 to $1.25 previously. Same-store sales growth is now projected at 1.0% to 1.5%, compared with a prior flat-to-2% range. Restatement-related costs are expected to reach at least $50 million in 2026, above the earlier top-of-range estimate of $45 million, with additional costs anticipated in 2027.
On a preliminary basis, the company reported third-quarter same-store sales growth of 2.0% overall, including a 4.9% increase at Take 5 Oil Change, which added 27 net new units. Driven Brands also ended the quarter with about $230 million in cash and roughly $1.4 billion in net debt.
The decline was accompanied by heavy trading volume as investors repriced the stock following the restatement news. The move appeared largely company-specific rather than a reflection of broader automotive-services or market trends, underscoring that accounting and disclosure concerns were the dominant driver. The shares fell through recent support levels established over the prior trading sessions, signaling a technical breakdown alongside the fundamental reassessment.
Investors will be focused on the rescheduled third-quarter earnings report and the eventual filing of the Form 10-Q, which management has said will be delayed until the restatement is addressed. The completion of the restatement, the issuance of updated Franchise Disclosure Documents, and the resumption of share repurchases are key milestones that could shape sentiment in the weeks ahead. Risks include the potential for additional accounting adjustments, further cost increases, continued pressure on lower-income consumers, and any regulatory or litigation developments related to the restatement.
