Stablecoin Development Corporation (SDEV), the on-chain holding company formerly known as NovaBay Pharmaceuticals that pivoted to digital assets earlier this year, saw its stock come under heavy selling pressure on Monday. The shares, which closed the previous session at $7.48, traded down to around $3.34 during the session — a decline of approximately 55.35%, or $4.14 per share. The market reaction followed the release of a sharply critical research note focused on the company's capital structure, its concentrated token holdings, and potential shareholder dilution.
The immediate trigger for the decline was a report from Fugazi Research, a short-focused research firm, published Monday morning. The firm characterized SDEV as "uninvestable at any price above zero," arguing that a company bearing the "stablecoin" name in fact has no stablecoin infrastructure and no meaningful operating business — only a large position in the SKY token.
The note consolidated several distinct risks into a single bearish thesis, and the market's response was swift. The stock, which had rallied more than 100% in the prior session on SKY-related momentum, gave back a substantial portion of those gains as investors reassessed the company's fundamental value.
A central concern raised in the report involves the company's capital structure. A January private placement raised roughly $134 million in stated proceeds, but only about $25 million arrived as cash, with the remainder consisting of stablecoins and SKY tokens. That financing issued pre-funded warrants covering 167.5 million shares, a figure that dwarfs the approximately 50.6 million common shares outstanding as of June 30.
The warrants unlock in three tranches subject to stockholder approval, with a further 30% tranche becoming exercisable on Oct. 16 and the remaining 50% on Jan. 16, 2027. Following each unlock, holders may sell up to 10% of the stock's 30-day average daily volume per day. Analysts warned that this structure creates the potential for substantial overhang and repeated supply pressure on the shares.
The report also flagged SDEV's heavy concentration in a single digital asset. As of June 30, the company held about 2.286 billion SKY tokens valued at roughly $119.2 million, or approximately 94% of its $127.5 million in total assets. Fugazi argued that quoted SKY prices may not reflect what the company could actually realize if it attempted to sell such a large position, given liquidity constraints.
This concentration cuts both ways: the company reported preliminary digital asset net asset value of about $180.2 million as of Sept. 30, up from $119.2 million at mid-year, reflecting a rising SKY price. But the volatility is stark — SDEV recorded a $28 million unrealized loss on digital assets in the first half of 2026, and its second-quarter loss of $50.6 million wiped out a first-quarter gain.
Compounding the negative sentiment, the report raised governance questions related to related-party arrangements. CEO and Chairman Michael Kazley also serves as managing member and general partner of R01 Fund LP, the largest purchaser in the January financing, and reportedly signed the purchase agreement on behalf of both entities. Purchasers also received director nomination rights and certain consent rights over material changes to the company's digital-asset strategy. Critics argue these overlapping roles and control provisions create meaningful risk for common shareholders.
The decline came on elevated volume, extending the extreme volatility that has characterized the stock in recent sessions. The shares have swung from roughly $1.50 in late September to more than $7 in the prior session before Monday's reversal — a pattern typical of thinly traded, crypto-linked microcaps where momentum can shift rapidly.
The move diverged sharply from the broader market, indicating that the selloff was driven by company-specific news rather than macro or sector-wide forces. Technically, the stock surrendered its entire prior-session surge and broke back below the levels it had briefly reclaimed, underscoring the fragility of the recent rally.
Investors will be closely watching how SDEV responds to the short-seller report and whether it provides additional disclosure around its SKY holdings, staking rewards, and financing arrangements. The Oct. 16 warrant unlock represents a near-term event that could introduce further selling pressure, while the path of the SKY token itself remains a key variable given the company's overwhelming exposure to it.
Other factors to monitor include the effectiveness of a pending S-3 registration that could enable resale of a large number of shares, any regulatory or exchange-related scrutiny, and the company's next earnings report. Given the stock's thin float and the concentration risks identified, volatility is likely to remain elevated in both directions.
